AwrelConnect Enterprise Terms (Master Services Agreement - MSA)
1. Agreement Overview
This Master Services Agreement (“Agreement”) is entered into between Awrel, LLC (“Awrel”) and the customer entity executing an Order Form (“Customer”). This Agreement governs Customer’s access to and use of AwrelConnect (the “Services”).
This Agreement becomes effective upon execution of an Order Form or initial use of the Services (“Effective Date”).
2. Services Description
AwrelConnect is a secure communication, workflow coordination, and AI-assisted content platform designed for regulated environments including healthcare.
Services include:
- Secure messaging and file sharingWorkflow coordination tools
- AI Co-Pilot Content Library
3. License and Access
Awrel grants Customer a non-exclusive, non-transferable, non-sublicensable right to access and use the Services for internal business purposes.
Customer may authorize employees and contractors (“Authorized Users”).
Customer is responsible for all Authorized User activity.
4. Intended Use and Restrictions
The Services are intended for non-emergency, non-critical communication.
The Services are NOT:
- A medical device
- A clinical decision support system
- A replacement for EHR systems
- Intended for emergency communications
5. AI and Medical Disclaimer
Awrel does not provide medical advice.
AI-generated content is provided for informational purposes only and may be inaccurate. Customer is solely responsible for validating all outputs.
6. Customer Responsibilities
Customer shall:
- Ensure compliance with applicable laws (including HIPAA where applicable)
- Maintain security of devices and credentials
- Use Services in accordance with this Agreement
Customer is responsible for all Content uploaded or transmitted.
7. Data Ownership and Use
Customer retains all rights to its data (“Customer Data”).
Customer grants Awrel a limited license to process Customer Data solely to provide the Services.
8. Security and Compliance
Awrel maintains administrative, technical, and physical safeguards consistent with industry standards.
Awrel will act as a Business Associate only where a separate Business Associate Agreement (BAA) is executed.
Shared Responsibility Model
- Awrel: platform security and infrastructure
- Customer: user access control, endpoint security, internal workflows
9. Admin Controls
Customer may designate administrators (“Admins”) who are responsible for:
- Managing user access and permissions
- Configuring organizational settings
- Monitoring usage
Customer acknowledges that Admin actions may affect all users and data within the account.
10. Service Level Agreement (SLA)
Availability
Awrel targets 99.5% monthly uptime, excluding:
- Scheduled maintenance
- Force majeure events
- Customer-caused disruptions
Support
- Standard support: business hours response
- Priority support: available under enterprise plans
Maintenance
Awrel may perform scheduled maintenance with reasonable notice where practicable.
11. Data Retention and Deletion
Data is stored in the United States.
Upon termination:
- Customer Data may be retained for a limited period (e.g., 30–90 days)
- After which it may be permanently deleted
Awrel does not guarantee backup recovery after deletion.
12. Audit and Compliance
Awrel may provide reasonable documentation regarding its security practices upon request.
Customer agrees to:
- Maintain internal compliance controls
- Cooperate with audits required by law or regulation
Formal security audits or assessments of Awrel systems require prior written agreement.
13. Acceptable Use
Customer shall not:
- Use Services unlawfully
- Upload harmful or infringing content
- Attempt unauthorized access
- Use automated scraping tools
Awrel may suspend accounts for violations.
14. Third-Party Services
The Services may integrate with third-party services. Awrel is not responsible for third-party systems or content.
15. Term and Termination
Term
This Agreement remains in effect during the subscription term.
Termination
Awrel may:
- Suspend immediately for security risks or violations
- Terminate with reasonable notice for convenience
16. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” AWREL DISCLAIMS ALL WARRANTIES.
17. Limitation of Liability
Awrel’s total liability shall not exceed $100 USD.
Awrel shall not be liable for indirect or consequential damages.
18. Intellectual Property
All rights in the Services remain with Awrel.
19. Indemnification
Customer agrees to indemnify Awrel against claims arising from:
- Customer Data
- Misuse of Services
- Violation of this Agreement
20. Governing Law
Massachusetts law governs this Agreement.
21. Entire Agreement
This Agreement, together with any Order Forms and BAAs, constitutes the entire agreement.
